TERMS AND CONDITIONS

TERMS OF PAYMENT

Prices subject to change without notice. Standard payment terms for open accounts are COD. Other terms may be arranged prior to purchase. All accounts are payable in U.S. dollars at the office of the seller unless otherwise stated on the invoice. If at any time the seller believes that the financial responsibility of the purchaser is impaired, the seller shall have the right to cancel orders, discontinue shipments, require payment in advance and/or satisfactory security guarantee that invoices will be paid promptly when due. All payments shall be due in full in accordance with terms stated on the face of the invoice. A late charge of3% per month will be assessed on delinquent balances. In the event of any default in payment, purchaser shall pay all attorney fees and or other collection costs equal to 25% of the remaining balance, which the parties agree are reasonable, whether or not litigation is initiated. Any returns must be approved in writing by seller, and may be subject to a restocking fee. Open account status will require prior credit approval. No Discounts are allowed when invoices are not paid within terms.

FREIGHT

All orders shipped from Annex Marketing are F.O.B Queen Creek, Arizona. Orders are shipped by United Parcel Service or Common Carrier unless specified by the Purchaser. All UPS freight charges will be added to your order. Common Carrier shipments will be sent freight collect.

RETURN POLICY

A Return Authorization Number and instructions must be obtained prior to returning any merchandise. Special orders, nonstock items may only be returned if defective. Returned merchandise shall be returned to Annex Marketing Company, LLC with freight prepaid. No freight allowance will be provided for returned merchandise.

LIMITATION ON WARRANTIES

Seller makes no warranty or representation, either express or implied, to the fitness for particular purpose, quality, design, condition, capacity, suitability, merchantability or performance of the material or workmanship thereof or of services thereto. In no event shall seller be liable for consequential or incidental damages. No warranty shall be binding upon seller unless a duly authorized representative signs it.

MANUFACTURING ERROR

All complaints must be registered within a 24 hour of receipt of job. Should the job contain manufacturing errors, we will rerun at no charge. We maintain the right to judge what a manufacturing error is.

MATERIALS AND SAMPLES

All materials we create in producing your job are the property of Annex Marketing Company. These materials will not be sold or given to any other party. We reserve the right to distribute free samples of your work and use it in our adverting.

JURISDICTION AND VENUE

In the event of litigation. The parties agree that exclusive jurisdiction and venue shall be in: THE STATE OF ARIZONA, COUNTY OF PINAL OR AS SELLER MAY OTHERWISE DETERMINE.

By agreeing to the invoice associated with your order you agree to the above referenced terms and conditions.
